Marchex Announces Pricing of Public Offering of 5,714,000 Shares of Class B Common Stock

SEATTLE--(BUSINESS WIRE)--Mar. 26, 2014-- Marchex, Inc. (NASDAQ:MCHX), a mobile advertising technology company, announced today the pricing of its underwritten public offering of 5,714,000 shares of Marchex's Class B common stock at a price to the public of $10.50 per share. The Company has agreed to sell 2,857,000 shares of its Class B common stock and certain existing shareholders have agreed to sell an additional 2,857,000 shares of its Class B common stock. Marchex has granted the underwriters a 30-day option to purchase up to an additional 514,100 shares of Class B common stock to cover over-allotments, if any, and the selling shareholders, collectively, have granted the underwriters a 30-day option to purchase up to an additional 343,000 shares of Class B common stock, in each case at the public offering price less the underwriting discount.

Marchex intends to use the net proceeds of the offering for general corporate purposes, which may include acquisitions or licenses of, or investments in, products, services, technologies or other businesses. Marchex will not receive any of the proceeds from the sale of shares by the selling shareholders.

Deutsche Bank Securities is acting as the lead book-running manager and representative of the underwriters for the offering. RBC Capital Markets and Piper Jaffray are acting as joint book-running managers. BMO Capital Markets and Stephens Inc. are co-managers for the offering.
